Terms of Service

These Terms of Service (“Terms”) govern access to and use of the websites, software, and services of Marino Flow LLC (“Marino Flow,” “we,” “us”), including AgentFlow CRM (collectively, the “Services”). By creating an account or using the Services, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent (“Customer”).

1. The Services

Marino Flow provides subscription-based software for business professionals, including AgentFlow CRM, a customer relationship management platform for licensed mortgage professionals. Features include lead and pipeline management, communications, calendars and email sending via connected accounts, document management and client document requests, property information, calculators, and reporting.

2. Accounts

You must provide accurate information when creating an account and keep credentials confidential. You are responsible for all activity under your account. Accounts are created through marinoflow.com; each account is associated with an organization and a business type. You must be at least 18 years old and using the Services for business purposes.

3. Subscriptions, Trials, and Billing

  • Plans. The Services are offered in subscription tiers (e.g., Solo, Team, Enterprise) with per-seat pricing where applicable. Current pricing is displayed at purchase.
  • Free Trial. New subscriptions include a 14-day free trial. A payment method is collected at signup; you will not be charged if you cancel before the trial ends. Unless canceled, the subscription begins automatically at trial end.
  • Billing. Subscriptions renew automatically (monthly or annually) until canceled. Payments are processed by Stripe. Additional seats beyond a plan’s included users are billed at the then-current per-seat rate, prorated by our payment processor’s standard rules.
  • Changes and Cancellation. You may upgrade, downgrade, or cancel through the billing portal. Downgrades and cancellations take effect per the portal’s stated terms (typically at period end). Except where required by law, fees are non-refundable.
  • Non-payment. We may suspend or limit access for accounts with failed payments after reasonable notice.

4. Customer Data

  • Ownership. Customer retains all rights to data it or its clients submit to the Services (“Customer Data”). We process Customer Data solely to provide the Services, as described in our Privacy Policy.
  • Responsibility. Customer is responsible for the accuracy and legality of Customer Data and for having the necessary rights and consents to store and process it — including client contact information and documents collected through the Services.
  • Compliance. Customer is solely responsible for its own regulatory compliance in its industry, including (for mortgage professionals) licensing, advertising, communications consent (e.g., telephone and text messaging consent), fair lending, and document handling requirements. The Services are tools; they do not constitute legal, compliance, or financial advice.

5. Acceptable Use

You agree not to: use the Services for unlawful purposes; send spam or communications without required consent; upload malicious code; attempt to access other organizations’ data; resell or provide the Services to third parties except as intended (e.g., inviting team members); reverse engineer the Services; or use the Services to store data you are prohibited from storing. We may suspend accounts that violate this section.

6. Third-Party Services

The Services interoperate with optional third-party services (such as Google, Microsoft, telecommunications and property data providers, and Stripe). Your use of those services is governed by their own terms. We are not responsible for third-party services, their availability, or their data. Calculators and property information (including automated valuations) are estimates provided for convenience and must be independently verified before being relied upon in any transaction.

7. Intellectual Property

The Services, including software, design, and content (excluding Customer Data), are owned by Marino Flow and protected by intellectual property laws. We grant Customer a limited, non-exclusive, non-transferable right to use the Services during the subscription term. Feedback you provide may be used by us without obligation.

8. Confidentiality

Each party will protect the other’s non-public information with reasonable care and use it only as needed to perform under these Terms.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL BE ACCURATE. OUTPUTS SUCH AS INCOME CALCULATIONS, PAYMENT ESTIMATES, AND PROPERTY VALUATIONS ARE INFORMATIONAL ESTIMATES ONLY.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

Customer will defend and indemnify Marino Flow against third-party claims arising from Customer Data, Customer’s use of the Services in violation of these Terms, or Customer’s violation of law.

12. Term and Termination

These Terms apply while you use the Services. Either party may terminate for material breach not cured within 30 days of notice. Upon termination, access ends and Customer Data is handled per the Privacy Policy. Sections that by their nature should survive (including 7–11) survive termination.

13. Changes to the Services and Terms

We may modify the Services and these Terms. Material changes to the Terms will be communicated via the Services or email; continued use after the effective date constitutes acceptance.

14. General

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law rules, and any disputes will be resolved in the state or federal courts located in Michigan. If any provision is unenforceable, the remainder stays in effect. These Terms, together with the Privacy Policy and any order details, are the entire agreement between the parties regarding the Services.
